## Description

One US public company's 8-K material-event timeline, newest first.

Use this for "what has happened at this company" — earnings releases,
leadership changes, completed deals, restatements, impairments — and
`stocks_search_events` when the question is which companies reported a
given kind of event. Events are derived from the item codes filers
report on Form 8-K, so they are typed and citable rather than narrative
news.

The result is the shared envelope. `data` holds the company identity
(`ticker`, null when the filer has no active ticker mapping, `cik`,
`company_name`) and the bounded `events` list; `meta` holds `source`
("sec-edgar-submissions") and `as_of`; `pagination` holds cursor paging
state. Each event carries `event_date` (the 8-K's date of earliest
event, falling back to the filing date when EDGAR omits it),
`filed_date`, `form_type`, `item_code`, `category`, `accession_number`,
and the filing's `primary_document_url`/`index_url`.

`item_code` is always the as-reported SEC code (e.g. "5.02");
`category` is only the documented bucket it maps to, so a code this
taxonomy does not know still arrives — in `other`, with its identity
intact. Item 9.01 (exhibits) is packaging, not an event, and is
suppressed unless it is a filing's only item. One filing reporting two
items yields two events sharing an accession.

Coverage: the 8-Ks already ingested for the covered filer universe,
filed on or after 2004-08-23 (the SEC's revised Form 8-K item
numbering; earlier filings use a vocabulary this feed does not speak).
A resolvable company with no matching events returns an empty list —
honest coverage, not an error.

Amendments: `8-K/A` filings are ordinary events flagged by `form_type`.
There is no cross-accession supersede resolution, so two 8-Ks about one
real-world happening remain two events, each traceable to exactly one
accession.

Boundaries: Item 2.01 completions also appear as `merger_acquisition`
rows on `stocks_get_corporate_actions` (same accessions — that tool
owns curated corporate-action history); earnings *dates* are not served
here (a 2.02 event is the announcement 8-K, not a calendar); insider
Forms 3/4/5 are not events in this feed (`stocks_get_insider_trades`
owns them and is not served yet). Events carry sec.gov links, never
document contents: fetch the filing yourself to read it.

Bounds: default 20, max 100 events per page, rejected (not clamped) out
of range. To page, pass `pagination.next_cursor` back as `cursor`.
Errors carry a machine `code`: `unknown_entity` for a ticker/CIK we
hold no mapping for (with `Did you mean: …?` suggestions when close
matches exist), `bad_parameter` for an invalid category, an inverted
date window, or a malformed cursor.

Example: `stocks_get_company_events(ticker_or_cik="AAPL",
category="leadership_change", start="2025-07-01", limit=10)`.

## Parameters

Input schema advertised to MCP clients and mirrored by the REST query string.

| Parameter | In | Type | Required | Default | Constraints | Description |
| --- | --- | --- | --- | --- | --- | --- |
| ticker_or_cik | input | `string` | yes | — | — | A US public company by ticker symbol ('AAPL', 'BRK.B') or SEC CIK ('320193'). Returns that filer's 8-K material events. |
| category | input | `string \| null` | no | null | — | Optional event-category filter: 'results_announcement', 'ma_completion', 'material_agreement', 'leadership_change', 'non_reliance', 'auditor_change', 'bankruptcy', 'delisting_notice', 'impairment', 'restructuring', 'financial_obligation', 'change_in_control', 'reg_fd', or 'other'. Invalid values return bad_parameter listing the whole vocabulary. Omit for every category. |
| start | input | `string (date) \| null` | no | null | — | Earliest event date to include, inclusive (ISO 'YYYY-MM-DD'). Bounds the 8-K's date of earliest event, not its filing date. |
| end | input | `string (date) \| null` | no | null | — | Latest event date to include, inclusive (ISO 'YYYY-MM-DD'). Bounds the event date, not the filing date. |
| limit | input | `integer` | no | 20 | min 1, max 100 | Events to return, newest first (1-100). |
| cursor | input | `string \| null` | no | null | — | Opaque pagination cursor from a previous response's `pagination.next_cursor`; omit to start from the newest event. |

## Provenance

- `sec-edgar-submissions` — U.S. Securities and Exchange Commission (EDGAR), Filing metadata only — form type, filing date, period of report, accession number, item codes — plus links to source documents on sec.gov; this connector never fetches or stores document contents (section extraction is `sec-edgar-archives`) (U.S. Government work, public domain (17 U.S.C. § 105)).
